Terms of Service

Please read these Terms of Service ("Terms") carefully before using BrightPath-IQ ("the Service") operated by BrightPath-IQ, LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part, you may not access the Service.

1. Description of Service

BrightPath-IQ is a cloud-based practice management platform designed for ABA (Applied Behavior Analysis) and ADHD therapy providers. The Service includes session tracking, progress monitoring, client management, team management, parent portal access, billing tools, teacher classroom tools, and a HIPAA-compliant audit trail.

2. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the security of your password and accept responsibility for all activity under your account.
  • Notify us immediately of any unauthorized use of your account.
  • Not share account credentials with any person outside your authorized staff.

We reserve the right to terminate accounts, remove content, or cancel subscriptions at our discretion if we determine that these Terms have been violated.

3. Subscription and Billing

BrightPath-IQ is offered on a subscription basis. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page.

  • Free Trial. New accounts receive a 14-day free trial with full access to all paid features. No credit card is required to start a trial.
  • Billing Cycle. Subscriptions are billed monthly or annually, in advance.
  • Automatic Renewal. Your subscription renews automatically unless you cancel before the renewal date.
  • Cancellation. You may cancel at any time from your account settings. Access continues until the end of the current billing period; no partial refunds are issued.
  • Price Changes. We will provide at least 30 days' notice before changing subscription pricing.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable federal, state, or local law or regulation, including HIPAA.
  • Store or transmit any content that is unlawful, defamatory, or fraudulent.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to send unsolicited communications (spam).
  • Resell or sublicense access to the Service without our written consent.

5. Protected Health Information (PHI) and HIPAA

BrightPath-IQ is designed to assist HIPAA covered entities and their business associates in managing Protected Health Information (PHI).

  • Business Associate Agreement (BAA). If your practice is a HIPAA covered entity, you must execute a BAA with BrightPath-IQ, LLC before entering any PHI into the Service. A BAA is included with all paid plans and is accepted electronically during account setup.
  • Your Responsibility. You are solely responsible for ensuring that your use of the Service complies with HIPAA and any other applicable privacy regulations.
  • Security Safeguards. We implement administrative, physical, and technical safeguards as described in our Privacy Policy.
  • Audit Retention. Audit log records are retained for a minimum of six (6) years per HIPAA § 164.530(j).

6. Data Ownership and Portability

You retain ownership of all data you enter into the Service, including client records, session notes, and documents. We do not sell your data to third parties.

  • Export. You may export your data at any time from the Service.
  • Deletion. Upon cancellation, your data is retained for 90 days before permanent deletion from production systems. Contact us if you need expedited deletion.

7. Intellectual Property

The Service and its original content (excluding user-submitted data), features, and functionality are and will remain the exclusive property of BrightPath-IQ, LLC. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription.

8. Third-Party Services

The Service integrates with third-party providers including Clerk (authentication), Supabase (database and storage), and Stripe (payment processing). Your use of the Service is subject to those providers' respective terms. We are not responsible for the practices of third-party service providers.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

BrightPath-IQ is practice management software. It does not provide medical, clinical, legal, or compliance advice. You are solely responsible for ensuring that your clinical practices and compliance measures meet all applicable standards.

10. Limitation of Liability

To the maximum extent permitted by applicable law, BrightPath-IQ, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total cumulative liability to you shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless BrightPath-IQ, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation including HIPAA; or (d) your infringement of any intellectual property or other rights of any third party.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including data retention, limitation of liability, and indemnification) will survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
